Estatutos Mini-empresa educativa
Artículo 1.- Denominación
Small towns…new challenges. María
Artículo 2.- Objeto Social
Mini-empresa educativa cuyo objetivo principal es:
Fomentar entre los jóvenes la educación en materia de emprendimiento y el
Emprendimiento.
Mini-empresa de carácter social para difundir y poner en valor el patrimonio cultural de la localidad.
Incluir a los alumnos con peores resultados académicos en el proyecto asumiendo roles de responsabilidad.
Desarrollar entornos de aprendizaje colaborativo en otra lengua tanto on-line como presencial.
Ser el germen de posibles empresas locales que permitan el trabajo a los jóvenes.
Participar en talleres específicos sobre emprendimiento, gestión empresarial, marketing, venta on-line.
Promover actividades de difusión abiertas a toda la población para mostrar los logros conseguidos y servir como ejemplo para otros jóvenes de la localidad.
Nos centraremos en dos actividades principales
1.- Elaborar, producir, difundir un libro de recetas
2.- Historical Free tour María.
Diseñar, realizar y poner en práctica un tour histórico teatralizado de María.
Artículo 3.- Domicilio Social
La mini-empresa educativa fija su domicilio en CEIP Ntra. Sra. de la Cabeza. María (Almería) España.
Artículo 4.- Ámbito Territorial de Actuación
Las actuaciones se desarrollarán a nivel local, comarcal, nacional e internacional al estar encuadradas dentro del proyecto Erasmus+
Artículo 5.- Duración
La mini-empresa educativa se constituye por dos años prorrogables en función de los resultados
Artículo 6.- Requisitos de las personas socias
Podrán ser socios todos aquellos alumnos de los cursos 5º, 6º de primaria, 1º y 2º de ESO del CEIP Ntra. Sra. de la Cabeza.
Artículo 7.- Personas socias temporales
Podrán ser socios temporales aquellos alumnos y ex alumnos del CEIP Ntra. Sra. de la Cabeza que manifiesten su interés en participar en actividades, aunque ya no estén adscritos al centro de referencia.
Artículo 8.- Derechos de las personas socias
Las personas socias tendrán los siguientes derechos:
- Participar en la actividad económica y social de la cooperativa sin ninguna discriminación y en los términos establecidos en estos estatutos sociales.
- Ser persona electora y elegible para los cargos sociales.
- Asistir y participar con voz y voto en la adopción de acuerdos de la Asamblea General y demás órganos sociales de los que formen parte.
- Obtener información sobre cualquier aspecto de la marcha de la mini-empresa educativa.
Artículo 9.- Obligaciones de las personas socias
La persona socia tendrá las siguientes obligaciones:
- Cumplir lo establecido en estos estatutos y los acuerdos válidamente adoptados por los órganos sociales de la mini-empresa educativa.
- Participar en la actividad que desarrolla la entidad para el cumplimiento de su fin social, en la forma establecida en estos estatutos.
- Cumplir con las obligaciones que le correspondan.
Artículo 10.- Régimen disciplinario
1. Las personas socias sólo pueden ser sancionadas en virtud de las faltas previamente recogidas en estos estatutos.
2. Las infracciones cometidas por las personas socias se clasificarán en:
2.1 Son faltas leves:
No asistir a las reuniones
No participar en los ensayos
Realizar las actividades fuera de plazo
2.2 Son faltas graves:
No realizar las actividades propuestas
No participar en las actividades asignadas
No colaborar en el correcto funcionamiento de alguna actividad
2.3 Son faltas muy graves
Reiterado comportamiento contrario a los fines de la mini-empresa
No participar en ninguna actividad
Comportamiento inadecuado con los compañeros
3. Sanciones:
Las sanciones a imponer en cada caso son las siguientes:
- Para las FALTAS LEVES: amonestación verbal
- Para las FALTAS GRAVES: exclusión a participar en la actividad lúdica propuesta para todos los socios (excursión a Port-Aventura)
- Para las FALTAS MUY GRAVES: la exclusión de la persona socia.
Artículo 11.- Exclusión
La exclusión de un socio se producirá a instancias de la dirección de la mini-empresa educativa y con mayoría de la asamblea.
Artículo 12.- Organismo Inversor
Por la especial característica de la mini-empresa educativa, se acuerda como Organismo Inversor el CEIP Ntra. Sra. de la Cabeza. El cual podrá invertir las cantidades necesarias para la realización de las actividades, y que siempre sin ánimo de lucro podrá proponer actividades lúdico-recreativas para el disfrute del alumnado del centro.
Artículo 13.- Órganos Sociales
Los órganos sociales serán la Asamblea General y la Dirección.
Artículo 19.- Asamblea General .
1.- La Asamblea General, constituida por las personas socias
2.- Las Asambleas Generales pueden ser ordinarias y extraordinarias.
3.- La Asamblea General ordinaria se reunirá a instancia de al menos 5 socios y/o por decisión de la dirección.
Artículo 15.- La dirección
La dirección de la mini-empresa educativa estará formada por
Director/a
Secretario/a
Jefe/a económico
Jefe/a de actividades
* se exigirá paridad en los cargos representativos
Artículo 16.- Capital Social
El capital social de la mini-empresa educativa se constituye inicialmente con la aportación de 10€ de cada uno de los alumnos socios.
Artículo 17.- Reembolso
En caso de baja voluntaria y si no se ha participado en ninguna actividad lúdico recreativa promovida por la mini-empresa como recompensa por la participación se le devolverán 10 euros.
Artículo 18.- Modificación de estatutos
Los acuerdos sobre modificación de los estatutos sociales, deberán adoptarse por la Asamblea General
Artículo 19. Disolución
La disolución se producirá cuando:
Finalicen las actividades propuestas en el proyecto Erasmus+
Acuerdo de la Asamblea de socios.
El saldo de la mini-empresa educativa, una vez que se ha devuelto todo el dinero aportado por el socio inversor (CEIP Ntra. Sra. de la Cabeza) se destinará: 10% a una ONG, y el resto se propondrá una actividad lúdico recreativa para uso y disfrute de los socios. No se entregará dinero a ningún socio participante exceptuando los 10 euros de capital inicial en caso de baja voluntaria y no haber participado en ninguna actividad lúdica-recreativa financiada con los fondos de la mini-empresa educativa.

Article 1.- Denomination
Small towns ... new challenges. María
Article 2.- Social Objectives
Educational mini-company whose main objective is:
Encourage education among young people in the field of entrepreneurship
Mini-company of a social nature to disseminate and value the local cultural heritage.
Include the students with the worst academic results in the project assuming responsibility roles.
Develop collaborative learning environments in another language both on-line and face-to-face.
Promote local businesses that allow young people to work.
Participate in specific workshops on entrepreneurship, business management, marketing, on-line sales.
Promote dissemination activities open to the public to show the achievements and serve as an example for other young people in the town.
We will focus on two main activities
1.- Elaborate, produce, disseminate a recipe book
2.- Free Historical tour María.
Design, perform and put into practice a theatrical historical tour of María.
Article 3.- Address
The cooperative establishes its address in CEIP Ntra. Sra. De la Cabeza. María (Almería) Spain.
Article 4.- Territorial Scope of Action
The actions will be developed at the local, regional, national and international levels, as they are framed within the Erasmus + project
Article 5.- Duration
The company is constituted for two years extendable according to the results
Article 6.- Requirements of the partners
All students of 5th, 6th grade, 1st and 2nd Secondary Education courses of the CEIP Ntra. Sra. De la Cabeza can be members.
Article 7.- Temporary partners
Those students and alumni of the CEIP Ntra. Sra. De la Cabeza may express their interest in participating in activities, even if they are no longer adhered to the reference center.
Article 8.- Rights of the partners
The members will have the following rights:
a) Participate in the economic and social activity of the cooperative without any discrimination and in the terms established in these bylaws.
b) Be a voting and eligible person for social positions.
c) Attend and participate with voice and vote in the adoption of resolutions of the General Assembly and other social bodies of which they are a part.
d) Obtain information on any aspect of the progress of the mini-company .
Article 9.- Obligations of the partners
The partner will have the following obligations:
a) Comply with the provisions of these statutes and the agreements justifiably adopted by the social organs of the cooperative.
b) Participate in the activity developed by the entity for the fulfillment of its social purpose, in the manner established in these bylaws.
c) Comply with the obligations that correspond to it.
Article 10.- Disciplinary regime
1. The partners can only be sanctioned by virtue of the faults previously included in these statutes.
2. The infractions committed by the members will be classified as:
• Light
• Serious
• Very serious
2.1 These are minor faults:
Do not attend meetings
Do not participate in trials
Carry out activities after the deadline
2.2 These are serious faults:
Do not carry out the proposed activities
Do not participate in assigned activities
Do not collaborate in the correct functioning of any activity
2.3 These are very serious faults
Repeated behavior contrary to the aims of the mini-company
Do not participate in any activity
Inadequate behavior with peers
3. Sanctions:
The sanctions to be imposed in each case are the following:
a. For LIGHT FAULTS: verbal reprimand
b. For SERIOUS FAULTS: exclusion from the recreational activity proposed for all partners (excursion to Port-Aventura)
c. For VERY SERIOUS FAULTS: the exclusion of the partner.
Article 11.- Exclusion
The exclusion of a member will take place at the request of the management of the educational mini-company and with a majority of the assembly.
Article 12.- Investor Organization
Due to the special characteristic of the mini-company, the CEIP Ntra. Sra. De la Cabeza is agreed as an Investor Organization. Which may invest the amounts necessary for the realization of activities, and that always without profit can propose recreational activities for the enjoyment of the students of the center.
Article 13.- Social Organs
The corporate bodies will be the General Assembly and the Management.
Article 19.- General Assembly.
1.- The General Assembly, constituted by the associates
2.- The General Assemblies can be ordinary and extraordinary.
3.- The ordinary General Assembly will meet at the request of at least 5 partners and / or by decision of the management.
Article 15.- The address
The management of the mini-educational enterprise will be formed by

Economic treasurer
Head of activities
* equal opportunities will be required in representative positions
Article 16.- Social Capital
The social capital of the educational mini-company is initially constituted with the contribution of 10€ from each of the student partners.
Article 17.- Refund
In case of voluntary withdrawal and if you have not participated in any leisure recreational activity promoted by the mini-company as a reward for participation, you will be refunded 10 euros.
Article 18.- Modification of statutes
The agreements on modification of the bylaws, should be adopted by the General Assembly
Article 19. Dissolution
The dissolution will occur when:
Finish the activities proposed in the Erasmus + project
Agreement of the Assembly of partners.
The balance of the mini-company, once all the money contributed by the investment partner (CEIP Ntra. Sra. De la Cabeza) has been returned, will be allocated: 10% to an NGO, and the rest will be proposed for a leisure recreational activity for the use and enjoyment of the partners. No money will be given to any participating partner except for 10 euros of initial capital.
